Itera acquires a 20% stake in development partner Rabbitly, Inc., making it an affiliated company

Itera, Inc. (head office: Nishi-Shinjuku Mizuma Bldg. 2F, 3-3-13 Nishi-Shinjuku, Shinjuku-ku, Tokyo; Representative Director: Takayuki Muto; hereafter “Itera”) has acquired 20% of the issued shares of its development partner Rabbitly, Inc. (head office: Daiichi Hibiya Bldg. 703, 1-18-21 Shimbashi, Minato-ku, Tokyo; Representative Director: Yuki Mori; hereafter “Rabbitly”), making it an affiliated company. At the same time, Yuki Mori, Representative Director of Rabbitly, has been appointed Director and CTO of Itera, moving the two companies to a structure in which management, business and development decisions are made as one.

Background and purpose

In the AI agent business, competitiveness comes from the speed at which a product improves. Whether a company can keep iterating weekly or daily against model progress and shifting customer requirements is what decides success or failure. Rabbitly is the core partner responsible for developing Itera’s products, but under the previous arrangement a structural lag in specification and prioritisation decisions was unavoidable.

Through this capital alliance, the two companies are now bound together by both shareholding and board composition, allowing planning, implementation and improvement to be carried out along a single decision-making line.

Details of the acquisition

Target: Rabbitly, Inc. Shares acquired: 100 ordinary shares, equivalent to 20% of total issued shares Post-acquisition holding: 20% (affiliated company) Acquisition date: 10 June 2026 Acquisition price: undisclosed Board: Yuki Mori, Representative Director of Rabbitly, appointed Director and CTO of Itera, Inc.

What this alliance enables

Fully unified development

Substantially shorter lead times from specification through implementation, release and improvement, accelerating the product improvement cycle.

A jointly driven product roadmap

Alongside continued feature expansion for Itera SNS (formerly SHORTBOOSTER) and HP BOOSTER, the two companies will jointly develop Itera AI, an autonomous marketing AI scheduled for release in August 2026.

A shared technical foundation

Joint design and development of our AI agent platform and data platform, improving the reusability of technical assets across products.

Collaboration on hiring and organisation

Working together on engineer recruitment and development to strengthen the engineering organisations of both companies.
